Bylaws of the Delaware Paraoptometric Association



Article I
NAME AND PURPOSE

Section 1
This Section shall be known as the Delaware Paraoptometric Section of the Delaware Optometric Association.

Section 2
The purpose of the Section is to assist in the enhancement of optometric vision care to the public by promoting the health team concept in the delivery of optometric services; to encourage and to assist in the provision of quality continuing education for paraoptometric personnel; to promote, advance and enhance the identity of both paraoptometrics and optometrists and to provide a forum for members of the AOA having an interest in this area of optometry.

Article II
MEMBERSHIP AND TERMINATION OF MEMBERSHIP

Section 1
In order to be a member in good standing one must

1) be sponsored by an optometrist who is a member of the AOA;

2) be an associate member of the AOA within six months of joining;

3) submit, with his or her annual dues, a statement signed by a sponsoring AOA member optometrist.


Section 2
Each member of the Section shall pay to the Delaware Optometric Association annual dues of $35.00. Any member of the Association upon request to the Secretary-Treasurer of the Association and upon payment of dues for the current year, shall be enrolled as a member of this Section. Thereafter, such dues shall be paid in advance each year, beginning on January 1 next succeeding such enrollment. Members so enrolled and whose dues are so paid shall constitute the membership of this Section. Any member of the Section whose Association dues are waived or reduced by the Board of Trustees in accordance with Article I, Section 2. I. of the American Optometric Association Bylaws, shall have their Section dues waived or reduced in similar proportion


Section 3
Any member of the Section whose annual dues shall be more than three months past due shall thereupon cease to be a member of this Section. Membership in the Section will be terminated when a paraoptometric is no longer sponsored by an optometrist who is a member of the AOA.


Article III
OFFICERS, COUNCIL AND SECTION DELEGATE

Section 1
The officers of the Section shall be a President, President-Elect, Secretary and Treasurer.

Section 2
There shall be a Council which shall be composed of seven members as follows: President, President-Elect, Secretary, Treasurer, two trustees and Immediate Past President.

Section 3
The Council shall select the Section Delegate to the AOA House of Delegates and an Alternate Delegate.

Article IV
NOMINATION AND ELECTION OF OFFICERS/COUNCIL

Section 1
At least sixty days prior to the Annual Meeting of the Section, the President, with the consent of the Council, shall appoint a Nominating Committee of at least three members of the Section who are not candidates for office. The Nominating Committee shall, at the Annual Meeting, submit a slate of nominees for election to the attendees of the Annual Meeting, no later than the day prior to the day of election. The report of the Nominating Committee shall not preclude any member of the Section from making a nomination for office from the floor of the Annual Meeting.

Section 2
Except for the President and Immediate Past President, the officers shall be elected by the members of the Section present at the Annual Meeting of the Section. A majority of votes cast on a particular office shall be required for election to that office.

Section 3
No person may be elected for more than a single two year term in the President and President-Elect position. No person may be elected for more than two consecutive years in the Secretary, Treasurer or trustee positions

Section 4
Terms of office/vacancies.
A) The President shall serve a two year term; (effective 2006)

B) The President-Elect (who automatically assumes the position of President upon completion of the President's term of office, Secretary, Treasurer and Trustees shall serve a two-year term;

C) The Immediate Past President shall serve a two-year term commencing immediately after the successor President is installed;

D) All terms of office shall begin at the close of the Annual Meeting at which the election takes place, and shall end at the close of the Annual Meeting stipulated by the terms of office;

E) If the office of Immediate Past President becomes vacant for any reason, the next junior available past President shall act as Immediate Past President;

F) Any vacancy occurring in any other office may be filled with the recommendation of the President and approval of the Council, and any person so appointed shall serve until the next Annual Meeting, at which time a person shall be elected to fill the remainder of the unexpired term. If a vacancy is in the office of President-Elect, the person appointed to serve as President-Elect shall not automatically succeed to the President. At the next election, the office of the President-Elect and/or President shall be deemed to be open.

Article V
DUTIES OF OFFICERS/COUNCIL

Section 1
President. The President, or successively, the President-Elect or Secretary, in the absence of the President, shall preside at all meetings of the Section, and of the Council and shall formulate and present at each annual meeting of the Delaware Optometric Association a report of the activities of the Section for the closing year. The President shall appoint the Presidents and members of all committees within the Section who are to hold office during the President's term. The President shall be an ex-officio member of all committees. The President shall plan and superintend the program of the Section at the annual meetings of the Delaware Optometric Association during the term, subject to the directions and approval of the Section Council. The President shall superintend the performance of all activities of the Section, keeping the Council fully informed and carrying out its decisions. The President shall perform other duties and acts that usually pertain to the office or as may be designated by the Council

Section 2
President-Elect. Upon the death, resignation or disability of the President the President-Elect shall perform the duties of the President for the remainder of the President's term of disability, as the case may be. The President-Elect, in consultation with the President, shall arrange for the appointment of the Presidents of all committees who are to hold office during the upcoming term as President. The President-Elect shall aid the President in the performance of the President's responsibilities as the President may request, and shall perform other duties designated by the Council.

Section 3
Secretary. The Secretary shall keep a true record of the proceedings of all meetings of the Section and of the Council. With the President, the Secretary shall prepare a summary or digest of the proceedings of the Section for publication in an Annual Report.

Section 4
Treasurer. In conjunction with the President as authorized by the Council, the Treasurer shall attend generally to the membership records and financial business of the Section and keep an accurate record of all monies appropriated to and expended for the use of the Section.

Section 5
Immediate Past President and Trustees. The Immediate Past President and Trustees shall perform such functions as may be assigned to them by the President or the Council.

Article VI
DUTIES AND POWERS OF THE COUNCIL

Section 1
The Council shall have general supervision and control of the affairs of the Section subject to the provisions of the Constitution and Bylaws of the American Optometric Association and the Bylaws of the Section. It shall especially authorize all commitments and contracts which shall entail the payment of money, and so authorize the expenditure of all monies appropriated for the use or benefit of the Section. It shall not, however, authorize commitments or contracts which shall entail the payment of more money during any fiscal year than the amount which shall have been previously appropriated to the Section for such fiscal year. The Council may delegate any of these powers to the President or the Secretary

Section 2
The Council may authorize the President to appoint committees from Section members to perform such duties as the Council may direct, subject to limitation of these Bylaws and the Constitution and Bylaws of the Delaware Optometric Association and the American Optometric Association.

Section 3
A majority of the Council shall constitute a quorum for the transaction of business. All binding action of the Council shall be by majority vote of the members present.

Notwithstanding anything herein stated to the contrary, the following schedule of elections and terms shall apply for the directors elected in 1998 and 1999 from the local societies: at the 1998 annual meeting, two directors will be elected for a term of three (3) years and one will be elected for a term of two (2) years; and, at the 1999 annual meeting, two directors will be elected for a term of three (3) years and one will be elected for a term of one (1) year. Thereafter, all directors for the local societies shall be elected for a term of three (3)years.

Section 4
The Council of the Section, during the interim between meetings of the Section, shall have full power to do and perform all acts and functions which the Section itself might do or perform, not inconsistent with the action taken by this Section. Any such action taken by the Council shall be reported to the Section at its next meeting.

Article VII
MEETINGS

Section 1
The Annual Meeting of the Section shall be held prior to, during, or following the Annual Meeting of the Delaware Optometric Association, in the same city or place as such Annual Meeting of the Delaware Optometric Association, with such program and order of business as may be arranged by the Council.

Section 2
Special meetings of the Section may be called by the President upon approval of the Council, at such time and place as the Council may determine.

Section 3
For the transaction of business, the members of the Section present at any meeting shall constitute a quorum.

Section 4
All binding action of the Section shall be by a majority vote of the members present.

Section 5
Except as may be otherwise required by the Constitution or Bylaws of this Association or of the Section, all meetings shall be governed by the parliamentary rules and usages contained in the then current edition of Robert's Rules of Order.

Article VIII
MISCELLANEOUS PROVISIONS

Section 1
The fiscal year of the Section shall be the same as that of the Delaware Optometric Association

Section 2
All bills incurred by the Section, before being forwarded to the Treasurer of the Delaware Optometric Association or Section Treasurer for payment, shall be approved by the President or the Secretary, or if the Council shall so direct, by both of them.

Section 3
No salary or compensation shall be paid to any officer, Council member, or member of a committee.

Section 4
Any action of this Section must be approved by the Delaware Optometric Association before the same becomes effective as the action of the Delaware Optometric Association. Any resolution adopted or action taken by the Section may on request of the Section be reported by the President of the Section to the Annual Meeting of the Delaware Optometric Association for the Association's action thereon, provided that before any resolution shall be acted upon by the Section it shall be referred to the Council for its recommendation.

Section 5
These Bylaws shall become effective upon recommendation and approval by the Executive Board of the Delaware Optometric Association and by this Section.

Section 6
All communications for this Section or for the Council or any committee of the Section shall be done under the supervision of the Delaware Optometric Association.

Article IX
AMENDMENTS

Section 1
These Bylaws may be amended at any Annual Meeting of the Section by a majority vote of the members of the Section present and voting.

Section 2
The proposed amendments shall first be approved by a majority of the council and then presented to the membership in writing at least 60 days prior to the annual meeting of the section. No amendment so adopted shall become effective until approved by the Executive Board of the Delaware Optometric Association.
